Resolution: 2018-22

Title: Amend Article V Section 4 of the Constitution of the Department of Tennessee

Origin: Sgt Donnie E. Horton Post 254

WHEREAS, The American Legion, Department of Tennessee Constitution and Bylaws was last revised June 26, 2004; and

WHEREAS, The American Legion, Department of Tennessee Constitution currently does not discuss what procedures must be followed should a quorum not exist during a Department Convention; and

WHEREAS, Article V Section 4 states that a quorum shall exist at a Department Convention when Posts representing one thousand delegates are present and qualified to vote, regardless of whether the Posts represented have all of the delegates or alternates to which they are entitled present or only a fraction part thereof; and

WHEREAS, Any business transacted in the absence of a quorum is null and void, and

WHEREAS, Under Robert’s, a meeting at which quorum never appears can still be called to order.  At that point, however, the meeting must either adjourn or address how to obtain a quorum; now, therefore, be it

RESOLVED, by Post 254, The American Legion, Department of Tennessee, in a regular meeting assembled on October 4, 2018, That Article V Section 4 of The American Legion, Department of Tennessee Constitution shall read; A quorum shall exist at a Department Convention when Posts representing thirty percent of the Posts in the Department of Tennessee are present and qualified to vote, regardless of whether the Posts represented have all of the delegates or alternates to which they are entitled present or only a fractional part thereof.  Once the Convention is called to order and roll call is performed, it shall be determined whether a quorum exists.  Should a quorum not exist, the Convention will adjourn and the Chairman and Secretary of the Convention will make every effort to contact Posts that can, without delay, travel to and become a delegate to the Convention, and in turn provide sufficient delegates to constitute a quorum.
